Are you selling anything? Promoting a product? If the answers as both "No" then I don't see what part of the TOS it would violate.

I am running a comp to give away an Antivirus product key (which I won through a comp and don't need it): http://my.opera.com/community/forums/topic.dml?id=1127042

I just want to know if such comps are against TOC.

Make sure the company allows you to transfer your key, some of them don't. Otherwise as long as you transfer it to only one person you should be fine.
